Trade terms & conditions

These terms govern the supply of goods by Butyros Limited (trading as Valen & Co, company number 15765404, registered in England at 124 City Road, London EC1V 2NX, VAT 495192946) to trade customers registered on this portal.

1. Trade-only supply

Our goods are sold exclusively to VAT-registered UK businesses and approved overseas trade buyers for onward resale. By placing an order you confirm that you are buying in the course of your business and not as a consumer. We reserve the right to request proof of trading status at any time and to decline, suspend, or close accounts at our discretion.

2. Prices and currency

• All prices displayed in the portal are in pounds sterling (GBP) and are exclusive of VAT, which will be added at the prevailing rate at checkout or on the invoice.
• Prices are shown in your selected display currency as a convenience only; invoicing is in GBP. Exchange rates shown are indicative.
• Prices are live and may change without notice. The price applicable to your order is the one confirmed in the order acknowledgement.

3. Minimum order quantities

Products are sold in full cartons. The minimum order quantity (MOQ) per SKU is shown on each product card. We reserve the right to round quantities to the nearest carton and to decline orders below stated MOQs.

4. Payment terms

• Your first order is payable in advance by bank transfer or card.
• After a satisfactory first order, approved customers are offered Net-30 terms — invoice payable by bank transfer within 30 calendar days of the invoice date.
• Late payments carry interest at 4% above the Bank of England base rate (Late Payment of Commercial Debts (Interest) Act 1998) and recovery costs per Schedule 5B of that Act.
• Title to goods passes to you only on receipt of cleared funds in full. Until then, goods remain the property of Butyros Limited and we reserve the right to recover them.

5. Delivery

• We dispatch from our UK warehouse. Orders placed before 2pm on a working day are usually picked the same day.
• Free standard UK mainland shipping on orders over £3,000 ex VAT. Below that threshold, shipping is charged at cost.
• Delivery dates are estimates, not guarantees. We are not liable for delays outside our reasonable control (carrier issues, weather, customs).
• Risk in the goods passes to you on delivery to your nominated address (or a nominated carrier if you arrange collection).

6. Inspection and claims

You must inspect goods on delivery. Any shortages, damage in transit, or other discrepancies must be reported in writing (email to orders@valentrading.com) within 48 hours of delivery, accompanied by photos where applicable. Claims made after this window may not be accepted.

7. Returns

Goods are sold firm and non-returnable except where faulty or materially not as described. Before returning any goods you must obtain a written Return Materials Authorisation (RMA) from us. Any goods returned without an RMA may be refused and returned to you at your cost.

8. Parallel trade and re-export

You warrant that any onward sale of the goods complies with UK law, any applicable import/export controls, and any brand owner restrictions. You are responsible for compliance with trading standards, product safety, and labelling requirements in your market.

9. Liability

Our liability to you for any single claim is limited to the invoice value of the goods giving rise to the claim. We are not liable for loss of profit, loss of business, or indirect or consequential loss. Nothing in these terms limits our liability for fraud, death, or personal injury caused by our negligence.

• What we collect. Account details (company name, contact name, email, phone, delivery address, Companies House and VAT numbers), order history and invoicing data, and — for signed-in users — portal behaviour data (searches, filters, product clicks, cart activity) used to tune pricing, availability, and catalogue structure.
• Why we process it. To fulfil orders and invoice you, to operate and improve the portal, and to power AI-driven pricing and catalogue optimisation that keeps you on competitive terms.
• How long we keep it. Order, invoice, and VAT records for 6 years (HMRC requirement). Portal behaviour analytics for 2 years, after which they are aggregated or deleted.
• Your rights (UK GDPR). Access, rectification, erasure, portability, and objection. Contact jack@valentrading.com to exercise any of them.

11. Governing law

These terms are governed by the laws of England and Wales, and the parties submit to the exclusive jurisdiction of the English courts.
